Human Resources, Supply Chain, and Market
Through observation and evaluation processes, we provide clients with integrated solutions for human resources, supply chain, and market. We help clients establish a complete system, ultimately achieving growth by breaking through the bottlenecks in business development.

One client is one of the largest OEM (Original Equipment Manufacturer) factories in China's mainland for cosmetic products, primarily providing ODM (Original Design Manufacturing) services for daily chemical brands. During the outbreak of COVID-19, the company was unable to break through growth bottlenecks, resulting in a negative growth trend in its gross profit margin. We designed an ESOP (Employee Stock Ownership Plan) scheme that aligned with the client's business essence, assisted the client in adjusting parts of their supply chain, and during the burgeoning phase of Chinese enterprises expanding overseas, we helped the client split parts of their supply chain to Japan and Europe. We also established production lines in Kansai, Japan, and France. In the subsequent fiscal year, despite still being under the shadow of the COVID-19 pandemic, the client's revenue and gross profit both showed double-digit growth.
Spin Off
Through our observation and evaluation, we found that the shareholders of the client had strategic disagreements regarding the internal business of the group. To resolve the shareholders' inconsistencies in business and strategic planning, we implemented a series of spin-offs and restructurings to solve the disputes among shareholders, while considering economic substance.

The client is a unicorn enterprise in the hydrogen energy industry in mainland China, with two major business segments: hydrogen energy operations (production of hydrogen, transportation of hydrogen, and hydrogen refueling stations) and the production and manufacturing of hydrogen energy transport vehicles. Shareholders had disagreements on whether to focus on the development of hydrogen energy operations or the production and manufacturing of hydrogen energy vehicles. Through our spin-offs and restructurings, a smooth transition was achieved, ensuring the stability and growth of the client's various business segments.
Structure Reorganization
The client is headquartered in Singapore, with its largest supply chains located in mainland China and Vietnam. The client needs to strengthen control over suppliers to meet requirements for quality inspection and raw material testing. To this end, we assisted the client in carrying out a structural reorganization.

The client previously relied on third parties to conduct quality control on suppliers to meet its internal and industry regulatory requirements. Through our observation and evaluation, we identified a risk of fraud with the commissioned third party, leading to a failure in internal control, and the client could potentially face a series of embargoes or penalties. As a result, we assisted the client in establishing a wholly-owned subsidiary within mainland China and completed the foreign investment recognition procedures under Chinese law. Surprisingly, after several years of development, this wholly-owned subsidiary not only provided internal quality monitoring for the client but also developed a comprehensive monitoring system capable of offering high-quality services to other third parties. This success attracted numerous industry investors interested in private equity investment. Under our guidance, the client completed this cross-border transaction.
